1. About AGRIO
Agrio Marketplace LLC operates AGRIO as a technology marketplace platform that connects consumers, restaurants, and food businesses with local farms. Agrio Marketplace LLC does not sell food directly. It provides the technology for sellers and buyers to transact. By creating an account and using AGRIO, you agree to these terms.
2. Accounts
You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your password and for all activity under your account. You agree to provide accurate, current information and to update it if it changes.
AGRIO reserves the right to suspend or terminate accounts that violate these terms, engage in fraud, or are inactive for extended periods.
3. For farmers
- You represent that you are authorized to sell the products you list and that they comply with all applicable federal, state, and local laws, including food safety and agricultural requirements.
- Product descriptions, prices, and availability must be accurate. You are responsible for updating your listings.
- You must complete Stripe onboarding to receive payouts. AGRIO is not responsible for delays caused by Stripe's verification process.
- Farmers keep 100% of their listed product price. AGRIO is free for farms — no listing fees, no monthly fees, no platform fees charged to farmers.
- You are responsible for product safety, labeling, storage, handling, transportation, fulfillment, taxes, customer claims, and regulatory compliance.
- You are responsible for fulfilling orders and having the product available for pickup on the agreed date and time.
4. For consumers and business buyers
- Products are offered by independent farms and producers. Agrio Marketplace LLC does not produce, process, inspect, test, certify, store, transport, or guarantee products offered by sellers.
- Business buyers are responsible for determining whether products satisfy their operational, regulatory, inspection, food-service, resale, and compliance requirements.
- Payment is charged at the time of order. All sales are final unless the farmer is unable to fulfill an order, in which case a full refund will be issued.
- You agree to pick up your order at the scheduled time. Missed pickups may be treated as completed orders with no refund.
- A service fee (4% of subtotal) and a flat platform fee ($1.49) are added to each order total. These fees are non-refundable in cases of voluntary cancellation after payment. Pickup is free; delivery fees, when applicable, are shown separately at checkout.
5. Prohibited uses
You may not use AGRIO to:
- List or purchase items that are illegal in your jurisdiction
- Create fake accounts, impersonate others, or submit false information
- Abuse, harass, or threaten other users
- Attempt to circumvent the platform's payment system (e.g., arranging off-platform payments)
- Scrape or systematically harvest data from AGRIO without permission
6. Payments and refunds
Payments are processed by Stripe. By purchasing on AGRIO, you agree to Stripe's terms. Refunds are reviewed by Agrio Marketplace LLC and are typically granted only when a seller cancels or fails to fulfill an order.
7. Limitation of liability
Agrio Marketplace LLC provides the marketplace platform. Sellers remain responsible for their products, operations, representations, compliance, and fulfillment. To the maximum extent permitted by law, Agrio Marketplace LLC's total liability for any claim is limited to the amount you paid in service fees in the 30 days prior to the claim.
8. Intellectual property
Agrio Marketplace LLC owns all rights to the platform, branding, and code. You retain ownership of content you upload, including farm descriptions and product photos. By uploading content, you grant Agrio Marketplace LLC a non-exclusive, royalty-free license to display it on the platform.
9. Changes to terms
We may update these terms as the platform evolves. We'll notify registered users by email of material changes. Continued use after changes constitutes acceptance.
